AGREEMENT BETWEEN USER AND NAFA Fleet Management Association

The NAFA Fleet Management Association website is comprised of various webpages operated by NAFA Fleet Management Association. The NAFA Fleet Management Association website is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the NAFA Fleet Management Association website constitutes your agreement to all such terms, conditions, and notices.

MODIFICATION OF THESE TERMS OF USE

NAFA Fleet Management Association reserves the right to change the terms, conditions, and notices under which the NAFA Fleet Management Association website is offered, including but not limited to changes associated with the use of the NAFA Fleet Management Association Website.

NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the NAFA Fleet Management Association website, you warrant to NAFA Fleet Management Association that you will not use the NAFA Fleet Management Association website for any purpose that is unlawful or prohibited by these terms, conditions, and notices. Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.
Post Test Questions and or Answers from Certification Exam.
Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer. Advertise or offer to sell or buy any goods or services for any business purpose.
Conduct or forward surveys, contests, pyramid schemes or chain letters.
Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.
Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
Restrict or inhibit any other user from using and enjoying the Communication Services. Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
Violate any applicable laws or regulations.

NAFA Fleet Management Association has no obligation to monitor the Communication Services. However, NAFA Fleet Management Association reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. NAFA Fleet Management Association reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

NAFA Fleet Management Association reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in NAFA Fleet Management Association’s sole discretion.

Always use caution when giving out any personally identifying information about in any Communication Service. NAFA Fleet Management Association does not control or endorse the content, messages, or information found in any Communication Service and, therefore, NAFA Fleet Management Association specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized NAFA Fleet Management Association spokespersons, and their views do not necessarily reflect those of NAFA Fleet Management Association.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you download the materials.

MATERIALS PROVIDED TO NAFA FLEET MANAGEMENT ASSOCIATION OR POSTED AT ANY NAFA FLEET MANAGEMENT ASSOCIATION WEBSITE

NAFA Fleet Management Association does not claim ownership of the materials you provide to NAFA Fleet Management Association (including feedback and suggestions) or post, upload, input, or submit to any NAFA Fleet Management Association website or its associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing or submitting your Submission you are granting NAFA Fleet Management Association, its companies, and necessary sublicenses permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat your Submission; and to publish your name in connection with your Submission.

No compensation will be paid with respect to the use of your Submission, as provided herein. NAFA Fleet Management Association is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in NAFA Fleet Management Association’s sole discretion.

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input, or submit the Submissions.

LIABILITY DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAFA FLEET MANAGEMENT ASSOCIATION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THERE IS NO WARRANTY THAT ANY INFORMATION OR SERVICE PROVIDED OR REFERENCED BY THIS SITE IS EITHER ACCURATE, THAT SUCH INFORMATION OR SERVICE WILL FULFILL ANY OF YOUR PARTICULAR PURPOSES OR NEEDS, OR THAT SUCH INFORMATION OR SERVICE DOES NOT INFRINGE ON ANY THIRD PARTY RIGHTS. EXCEPT FOR ANY EXPRESS WARRANTIES STATED ON THIS SITE, IF ANY, THE INFORMATION AND SERVICES PROVIDED OR REFERENCED ON THIS SITE ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS, AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH THE USER.

SO WHILE NAFA FLEET MANAGEMENT ASSOCIATION MAY USE REASONABLE EFFORTS TO INCLUDE ACCURATE AND UP-TO-DATE INFORMATION ON THE NAFA SITE, NAFA FLEET MANAGEMENT ASSOCIATION MAKES NO WARRANTIES OR REPRESENTATIONS AS TO ITS ACCURACY, TIMELINESS, OR COMPLETENESS. NAFA FLEET MANAGEMENT ASSOCIATION MAY PERIODICALLY ADD, CHANGE, OR IMPROVE ANY OF THE INFORMATION, PRODUCTS, SERVICES, PROGRAMS, AND TECHNOLOGY DESCRIBED ON THE NAFA SITE WITHOUT NOTICE. NAFA FLEET MANAGEMENT ASSOCIATION ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS OR OMISSIONS IN THE CONTENT OF THE NAFA SITE.

IN FACT, YOUR USE OF THE NAFA SITE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT ALLOWED BY LAW, NEITHER NAFA FLEET MANAGEMENT ASSOCIATION NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE NAFA SITE IS LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, HOWEVER CAUSED, ARISING OUT OF YOUR ACCESS TO, USE OF, OR RELIANCE ON THE NAFA SITE, EVEN IF NAFA FLEET MANAGEMENT ASSOCIATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FOR EXAMPLE, NAFA FLEET MANAGEMENT ASSOCIATION ASSUMES NO RESPONSIBILITY FOR, AND WILL NOT BE LIABLE FOR ANY DAMAGES TO OR ANY VIRUSES WHICH MAY AFFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR DOWNLOADING FROM, THE NAFA SITE. PLEASE NOTE THAT SOME JURISDICTIONS MAY RESTRICT OR DISALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

TERMINATION/ACCESS RESTRICTION

NAFA Fleet Management Association reserves the right, in its sole discretion, to terminate your access to the NAFA Fleet Management Association Website and the related services or any portion thereof at any time, without notice.

GENERAL

To the maximum extent permitted by law, this Agreement is governed by the laws of the State of New Jersey, and you hereby consent to the exclusive jurisdiction and venue of courts in Mercer County, New Jersey in all disputes arising out of or relating to the use of the NAFA Fleet Management Association Website. Use of the NAFA Fleet Management Association Website is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. NAFA Fleet Management Association’s performance of this Agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of NAFA Fleet Management Association’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the NAFA Fleet Management Association Website or information provided to or gathered by NAFA Fleet Management Association with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this Agreement constitutes the entire agreement between the user and NAFA Fleet Management Association with respect to the NAFA Fleet Management Association Website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and NAFA Fleet Management Association with respect to the NAFA Fleet Management Association Website. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

COPYRIGHT AND TRADEMARK NOTICES

You should assume that everything on the NAFA Fleet Management Association site is copyrighted unless otherwise noted and that it must not be used except as provided in the Terms and Conditions or with the express written consent of NAFA Fleet Management Association or any third party NAFA Fleet Management Association deems necessary. NAFA Fleet Management Association NEITHER WARRANTS OR REPRESENTS THAT YOUR USE OF THE MATERIAL DISPLAYED ON THE NAFA SITE WILL NOT INFRINGE RIGHTS OF THIRD PARTIES. Any product, service, program, or technology described on the NAFA Fleet Management Association site may be the subject of other intellectual property rights (including but not limited to copyright, trademark, or patent rights) owned by NAFA Fleet Management Association . Any such right that is not expressly licensed herein is reserved by NAFA Fleet Management Association.

Images of people or places displayed on the NAFA Fleet Management Association site are the property of NAFA Fleet Management Association . Use of these images by you or other third parties is prohibited unless expressly permitted in these Terms and Conditions or elsewhere on the NAFA Fleet Management Association site. Any unauthorized use of these images may violate copyright laws, trademark laws, the laws of privacy and publicity, and other applicable regulations and statutes.

Any product, service, program or technology described in any document published by NAFA Fleet Management Association on this site may be the subject of other intellectual property rights owned by NAFA Fleet Management Association. Any such right that is not expressly licensed hereunder is reserved by NAFA Fleet Management Association.

TRADEMARKS

Nothing contained on the NAFA Fleet Management Association site should be construed as granting by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the NAFA Fleet Management Association site without the written permission of NAFA Fleet Management Association or such third party that may own the Trademark. Misuse of any Trademarks, or any other content, displayed on the NAFA Fleet Management Association site is prohibited.

EVENT ATTENDANCE

Your event attendance authorizes NAFA Fleet Management and its contractors, licensees, and assignees to: make recordings and reproduce, distribute for sale or otherwise make derivative works; transmit, display and publicly perform recordings, transcriptions and derivative works in any medium containing your image and/or statements made at the event; telecast, air, and post all recordings and images on NAFA, contractor, licensees and assignees websites, printed publications and any other publishing medium without any compensation or other benefits due.
